3. Payment

Payment terms for our services will be specified in the relevant service agreement or invoice. Unless otherwise agreed in writing:

• Invoices are payable within 30 days of the date of issue
• We accept payment by electronic funds transfer
• Late payments may incur interest at a rate of 2% per annum above the Reserve Bank of Australia cash rate, calculated daily

All prices are in Australian dollars (AUD) and are exclusive of GST unless otherwise stated. Where GST applies, it will be added in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

4. Australian Consumer Law

Nothing in these Terms and Conditions excludes, restricts or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable legislation that cannot be excluded or limited.

Where our services are supplied to you for business purposes, you acknowledge that the consumer guarantees under the Australian Consumer Law may not apply to the extent that you acquire services for the purpose of a business.

5. Limitation of Liability

To the fullest extent permitted by law:

• Right Key Investment Western Australia Pty Limited's total liability for any claim arising out of or in connection with these terms or our services is limited to the fees paid by you for the specific service giving rise to the claim
• We are not liable for any indirect, incidental, special, consequential or punitive losses, including loss of profits, loss of revenue, loss of opportunity or loss of data
• We are not liable for any loss or damage arising from factors beyond our reasonable control, including but not limited to market fluctuations, legislative changes, or acts of God

Nothing in this clause limits liability for personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

6. Intellectual Property

All content on the rightkeyinvestmentwapty.site website, including but not limited to text, graphics, logos, images, design elements and software, is the intellectual property of Right Key Investment Western Australia Pty Limited or is used under licence.

• Provisions that by their nature should survive termination remain in force, including limitation of liability, intellectual property and dispute resolution

8. Dispute Resolution

If a dispute arises out of or in connection with these Terms and Conditions or our services, the parties agree to the following procedure:

• The party initiating the dispute must provide written notice to the other party, setting out the nature of the dispute and the remedy sought
• The parties will attempt in good faith to resolve the dispute through negotiation within 30 days of the notice being received
• If the dispute is not resolved through negotiation, either party may refer the matter to mediation administered by a mutually agreed mediator in Western Australia
• If mediation is unsuccessful, either party may commence legal proceedings in the courts of Western Australia

Nothing in this clause prevents a party from seeking urgent interlocutory relief from a court.

9. General Provisions

• Severability: If any provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect.
• Entire agreement: These Terms and Conditions, together with any applicable service agreement, constitute the entire agreement between you and Right Key Investment Western Australia Pty Limited regarding the subject matter.
• Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent.
• Waiver: Failure by either party to enforce a right under these terms does not constitute a waiver of that right.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Western Australia. You submit to the non-exclusive jurisdiction of the courts of Western Australia.
